Agreement

This End-User License Agreement ("EULA") is a legal agreement between you ("User", "you") and Webbee Limited, a company incorporated in New Zealand ("Webbee", "we", "us"), governing your acquisition and use of Money Leak Auditor (the "Software").

This EULA governs your use of Money Leak Auditor whether accessed directly at b24audit.com, through the Bitrix24 Marketplace, or indirectly through a Webbee-authorised reseller or distributor (a "Reseller").

Please read this EULA carefully before installing, connecting, or using the Software. By installing, connecting, or using Money Leak Auditor, you confirm your acceptance of the Software and agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.

If you are entering into this EULA on behalf of a company or other legal entity, you represent that you have authority to bind that entity and its affiliates to these terms. If you do not have such authority, do not install or use the Software.

This EULA applies only to Money Leak Auditor supplied by Webbee Limited, regardless of whether other software is referred to herein. The terms also apply to any Webbee updates, supplements, and support services for the Software, unless other terms accompany those items.

Description of Software

Money Leak Auditor is a Bitrix24 portal health audit tool that connects to any Bitrix24 cloud or on-premise portal via a read-only REST API webhook supplied by the User, scans the portal across five dimensions (CRM, Portal, Tasks, Disk, Contact Center), and produces a scored health report with financial-impact estimates and a prioritised action plan.

The Software is provided in the following tiers:

You are responsible for ensuring your Bitrix24 portal, internet browser, and necessary network access meet the minimum requirements of the Software. A valid Bitrix24 admin-scoped webhook URL is required to use the Software.

License Grant

Webbee Limited hereby grants you a limited, non-exclusive, non-transferable, revocable licence to use the Money Leak Auditor Software on your Bitrix24 portal(s) in accordance with the terms of this EULA and the subscription tier for which you have paid.

The licence grants you the right to:

• Connect Money Leak Auditor to Bitrix24 portals under your control or for which you have been granted administrative access by the portal owner;
• View, download, and share PDF reports generated by the Software for the portal(s) you have audited;
• Use the Software for your internal business purposes or, if you are a Bitrix24 partner or reseller operating under a valid Partner Program agreement with Webbee, for auditing client portals in accordance with that agreement.

This licence does not include any right to sublicence, resell, distribute, or otherwise make the Software available to third parties except as expressly set out in a separate written Partner Program agreement with Webbee.

Restrictions

You are not permitted to:

• Edit, alter, modify, adapt, translate, or otherwise change the whole or any part of the Software, nor permit it to be combined with or incorporated into any other software;
• Decompile, disassemble, reverse-engineer, or attempt to derive the source code of the Software or any component thereof;
• Reproduce, copy, or distribute the Software or any part of it for any purpose other than as expressly permitted by this EULA;
• Resell, sublicence, rent, lease, lend, or otherwise transfer the Software or any rights therein to any third party without a separate written Partner Program agreement with Webbee;
• Use the Software to audit portals for which you do not have the authority of the portal owner or administrator;
• Use the Software in any automated fashion to generate bulk reports for commercial resale without a Partner Program agreement;
• Remove, obscure, or alter any proprietary notice, copyright notice, trademark, or label appearing on or within the Software or its output;
• Use the Software in any way that violates any applicable local, national, or international law or regulation;
• Attempt to gain unauthorised access to the Software's backend systems, infrastructure, or other users' data;
• Use the Software for any purpose that Webbee, in its sole discretion, considers to constitute a breach of this EULA or to be harmful to Webbee, its customers, or third parties.

Subscription & Payment

Money Leak Report ($49) and Money Leak Custom ($79) are one-time purchases. Access to the interactive report dashboard is valid for 30 days from the date of purchase. The generated PDF report remains available to you indefinitely. Payments are non-refundable once the full report has been generated and delivered.

Tracker subscriptions ($89 / 3 months, $149 / 6 months, $229 / 12 months) renew automatically at the end of each subscription period unless cancelled before the renewal date. By subscribing to a Tracker plan, you authorise Webbee or its payment processor to charge the applicable fee to your payment method at each renewal.

If you are a registered Webbee partner, your pricing and payment terms are governed by the Partner Program agreement between you and Webbee. This EULA applies to your use of the Software in addition to those terms.

All payments are processed by Stripe Inc. or other third-party payment processors. Webbee does not store credit card or payment instrument details. By completing a purchase, you also agree to the payment processor's terms of service.

All prices are exclusive of applicable taxes (including GST, VAT, or sales tax) unless otherwise stated. You are responsible for paying all applicable taxes in your jurisdiction.

Data Access & Security

Money Leak Auditor accesses your Bitrix24 portal exclusively via the Bitrix24 REST API using the webhook URL you provide. The Software only calls read-only API methods (*.get, *.list and equivalent). It does not create, update, or delete any records in your portal.

Your Bitrix24 webhook URL (which contains your access token) is used only to make API calls during the audit session. The webhook token is never stored on Webbee servers. It exists only in your browser session and is discarded when you close the tab or complete the scan.

Aggregated, anonymised metrics derived from your audit (such as counts, percentages, and health scores) may be stored on Webbee servers for the purpose of delivering and displaying your report. No personally identifiable information of your Bitrix24 users is stored beyond what is necessary to generate the report. Please refer to our Privacy Policy for full details.

You are responsible for the security of your Bitrix24 webhook URL. Do not share the URL publicly. If you believe your webhook has been compromised, revoke it immediately in your Bitrix24 portal settings and generate a new one.

Intellectual Property and Ownership

Webbee Limited shall at all times retain ownership of the Software as originally downloaded, installed, or accessed by you, and all subsequent versions thereof. The Software — including its source code, algorithms, scoring methodology, report templates, UI design, and all intellectual property rights of whatever nature — is and shall remain the exclusive property of Webbee Limited.

Any modifications, enhancements, or derivative works of the Software, whether made by Webbee or in collaboration with others, are and shall remain the property of Webbee Limited.

Webbee Limited reserves the right to grant licences to use the Software to third parties on terms it determines appropriate.

The name Money Leak Auditor, the Webbee Group brand, and associated logos and marks are trademarks or trade names of Webbee Limited. You may not use them without prior written consent except to the extent necessary to truthfully identify the Software in normal use.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Webbee does not warrant that:

• The Software will be uninterrupted, error-free, or free of viruses or other harmful components;
• The results obtained from the Software will be accurate, complete, or reliable for any particular purpose;
• Any defects in the Software will be corrected;
• The Software will be compatible with all Bitrix24 plans, versions, or configurations.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEBBEE LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, goodwill, or business opportunities;
• Damages resulting from your reliance on information or estimates provided by the Software;
• Damages resulting from unauthorised access to or alteration of your Bitrix24 portal data;
• Damages arising from interruption or cessation of the Software.

WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WEBBEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, WEBBEE'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN ANY CASE, WEBBEE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA OR YOUR USE OF THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO WEBBEE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED NEW ZEALAND DOLLARS (NZD $100).

Termination

This EULA is effective from the date you first use the Software and shall continue until terminated.

You may terminate this EULA at any time by ceasing all use of the Software and, where applicable, cancelling any active Tracker subscription through your account settings or by contacting sales@webbeegroup.com. No refund will be issued for any unused portion of a subscription period unless required by applicable New Zealand consumer protection law.

This EULA will terminate immediately and automatically, without notice, if you fail to comply with any term herein. Webbee also reserves the right to terminate or suspend your access to the Software at any time if it reasonably believes you are using it in violation of this EULA, applicable law, or in a manner harmful to Webbee or third parties.

Upon termination of this EULA, whether by you or Webbee:

• All licences granted under this EULA will immediately cease;
• You must stop all access to and use of the Software;
• Any provisions of this EULA that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

Termination of this EULA does not affect any rights or remedies that either party may have accrued prior to termination.

Governing Law

This EULA and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

You agree to submit to the exclusive jurisdiction of the courts of New Zealand in respect of any dispute or claim arising under or in connection with this EULA or its subject matter, except where mandatory applicable law in your jurisdiction provides otherwise.

Nothing in this EULA limits any rights you may have under mandatory consumer protection laws applicable in your jurisdiction, including (where applicable) the New Zealand Consumer Guarantees Act 1993 or the Fair Trading Act 1986.

Changes to this EULA

Webbee Limited reserves the right to modify this EULA at any time. When we do, we will update the "Effective" date at the top of this document and, for material changes affecting paying users, notify you by email or through a notice within the Software.

Your continued use of the Software after the revised EULA becomes effective constitutes your acceptance of the updated terms. If you do not agree to the revised terms, you must cease using the Software and cancel any active subscriptions.
